Standard Annual Sponsorship Terms

These Standard Annual Sponsorship Terms ("Terms") set out the conditions under which Bearcave Limited ("we", "us", "Bearcave") grants a sponsorship spot on the CulinEire Sponsor Puzzle to the organisation or individual named in the sponsorship enquiry ("Sponsor"). By submitting a sponsorship enquiry and making payment, the Sponsor agrees to these Terms.

• Service provider: Bearcave Limited, Company No. 658124, 2 The Fairways, Tir Cluain, Midleton, Co. Cork, P25 W8W3, Ireland. Trading as CulinEire (Business Name No. 786815).
• Sponsor: The individual or organisation who submits a sponsorship enquiry and enters into this Agreement.

Subject to payment and compliance with this Agreement, Bearcave grants the Sponsor a non-exclusive, non-transferable licence to occupy a single designated cell on the CulinEire Sponsor Puzzle for the duration of the annual term. The specific ring and cell number will be confirmed by Bearcave upon acceptance of the enquiry.

• The Sponsor's logo and a link to the Sponsor's nominated website will be displayed within the assigned puzzle cell on culineire.ie/sponsors/.
• Placement is on a first-come, first-served basis. A cell is held as "reserved" upon enquiry and confirmed as "sold" upon receipt of payment and approval of logo materials.
• Bearcave reserves the right to decline any sponsorship enquiry at its sole discretion, including where the Sponsor's business or logo conflicts with CulinEire's values, legal obligations, or editorial standards.

Annual sponsorship pricing is determined by ring position on the puzzle, as published on the Sponsors page:

• Ring 6: €25 per year
• Ring 5: €50 per year
• Ring 4: €100 per year
• Ring 3: €200 per year
• Ring 2: €400 per year
• Ring 1: €800 per year
• Central Founding Partner spot: price on application

All prices are quoted exclusive of VAT where applicable. Payment terms and accepted payment methods will be confirmed by Bearcave in the sponsorship confirmation email. The sponsorship term commences on the date of payment confirmation.

• The Sponsor is responsible for providing a logo in a suitable format (PNG or SVG preferred, minimum 200px on the shortest side).
• By providing a logo, the Sponsor confirms they own or are licensed to use the logo and grants Bearcave a non-exclusive, royalty-free licence to display it on CulinEire for the duration of the sponsorship term.
• Bearcave may resize or reposition the logo to fit within the designated puzzle cell. No other modifications will be made without the Sponsor's consent.
• Logos that contain illegal, offensive, or misleading content will be rejected. Bearcave's decision in this regard is final.

• The initial sponsorship term is 12 months from the date of confirmation.
• Bearcave will contact the Sponsor before the end of the term to offer renewal at the then-current pricing.
• If the Sponsor does not renew, the cell will be released as available after the expiry date and the Sponsor's logo and link will be removed.
• There is no automatic renewal. Continued sponsorship requires a new agreement and payment for each annual term.

• Where the Sponsor is legally acting as a consumer and a statutory cooling-off right applies, nothing in this Agreement affects that right. For business sponsors, any cancellation or refund is governed by this Agreement and by any written sponsorship confirmation issued by Bearcave Limited.
• As a commercial policy, Bearcave Limited may allow cancellation within 14 days of payment if the sponsor placement has not yet been published, but this does not apply once the Sponsor's logo is live unless required by law or agreed in writing.
• Once the Sponsor's logo is live on the CulinEire puzzle, no refund is available for the current term unless required by applicable law.
• Bearcave may terminate this Agreement immediately and without refund if the Sponsor is found to be in breach of these terms, including providing misleading or illegal content.
• If Bearcave withdraws the sponsorship opportunity for reasons not attributable to the Sponsor, a pro-rata refund will be issued for any unused portion of the paid term.

• The Sponsor must not use the sponsorship spot, logo, or associated link to promote unlawful goods or services, defamatory content, or anything that violates Irish or EU law.
• The Sponsor must ensure that the nominated website URL is accurate and active for the duration of the term. If the URL changes, the Sponsor must notify Bearcave at culineire@bearcave.ie.
• The Sponsor must not misrepresent the nature of the sponsorship relationship or imply any editorial endorsement by CulinEire or Bearcave Limited.

The CulinEire name, logo, and puzzle design remain the exclusive property of Bearcave Limited. The Sponsor acquires no rights in the CulinEire brand or platform by entering into this Agreement. The Sponsor's logo and brand assets remain the property of the Sponsor.

To the fullest extent permitted by Irish and EU law, Bearcave's liability under this Agreement is limited to the amount paid by the Sponsor for the current annual term. Bearcave is not liable for indirect, consequential, or loss of business arising from temporary unavailability of the CulinEire website or the puzzle feature. Nothing in this clause limits liability for fraud, death, or personal injury caused by negligence.

Personal data provided as part of the sponsorship enquiry process will be processed by Bearcave Limited in accordance with our Privacy Policy and the GDPR. Data is used solely for the purpose of managing the sponsorship relationship and will not be shared with third parties for marketing.

This Agreement is governed by the laws of Ireland. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the Irish courts, without prejudice to any statutory rights you may hold as a consumer under applicable EU law.
